Terms of Use

BY ACCESSING OR USING THE SERVICES, OR BY OTHERWISE SIGNIFYING YOUR ACCEPTANCE OF THESE TERMS OF USE BY ANY MEANS INCLUDING AS FURTHER DESCRIBED BELOW, YOU AGREE TO THESE TERMS OF USE ON BEHALF OF YOURSELF, ON BEHALF OF THE COMPANY OR OTHER ENTITY LISTED IN THE ACCOUNT CREATION. IF YOU DO NOT AGREE TO THESE TERMS OF USE OR DO NOT HAVE THE AUTHORITY AS PROVIDED HEREIN, YOU MAY NOT AND SHALL NOT ACCESS OR USE THE SERVICES (AS DEFINED IN THESE TERMS OF USE).

 

Following are the Terms of Use (referred to herein as “Agreement” or “Terms of  Use”) for Keyhole’s Services (“Service,” “Keyhole,” “we,” “our” or “us”) by and between Subscriber (“Subscriber” “Organization” “Customer”  “User” “Your” and “You”).  If You are an individual accessing or using the Services on behalf of, or for the benefit of, any person or entity with which You are associated and identified in the Account (an “Organization”), then You are agreeing to this Agreement on behalf of Yourself and such Organization, and You represent and warrant that You have the legal authority to bind such Organization to this Agreement. References to “You” and “Your” in this Agreement refer to both any such Organization and to the individual accessing or using the Services on behalf of the Organization (including the Account Owner).  These terms and conditions govern your use of this website (“Site”); by using this Site, you accept these Terms of Use in full. 

License to use the Site

 

Subscriber agrees that all access to and use of Content made available by Keyhole, through (or in connection with) this Website (“Site”) and/or the Muck Rack Service shall be provided for media monitoring, social media and evaluation purposes only.  Subscriber’s  access to and use of the Keyhole Service is subject to the terms and conditions provided in the Terms of Service for the Muck Rack Services (and updates thereof) (the “Muck Rack Terms”) and the (“Muck Rack Privacy Policy”). Without limiting the foregoing, for the avoidance of doubt, any restrictions, limitations of liability, warranties, or indemnification obligations presented in the Muck Rack Terms of Service and Privacy Policy, shall also apply to these Terms of Use and your use of the Keyhole and Muck Rack Services (as applicable).

 

Subscriber further agrees that the Muck Rack Terms of Service constitute and form a separate binding agreement between Muck Rack and Subscriber and that Muck Rack has the right to assert and enforce this Agreement, including the Terms of Service, directly on its own behalf.

 

Muck Rack’s consent to the terms provided herein shall be evidenced by providing Subscriber with the means to access Keyhole Content.

 

By using Keyhole to collect data from and optimize your social media channels, you’re also agreeing to be bound by applicable Third Party Terms of Service. Muck Rack and Keyhole expressly disclaim any and all liability with regard to Subscriber’s access to and use of any materials retrieved from third party websites (“Web Materials”) by and through the Service.

We have not entered into a licensing agreement or linking agreement with the owners of the websites that provide Web Materials and make no representation that we have the right to sublicense access to the Web Materials to Subscriber. Subscriber’s use of the Web Materials including any distribution or redistribution thereof is solely at its own risk.

Subscriber will indemnify and hold Keyhole, Muck Rack, and its affiliates and its and their employees, officers, and directors (the “Covered Parties”) harmless from any loss or damage suffered by the Covered Parties as a result of a third-party claim brought against the Covered Parties as a result of Subscriber’s use of Web Materials.

 

Setting up your account

You must provide accurate and complete information, including your legal full name, a working email address, and any other information requested during the account signup process to obtain an account and use the Service, and update this information if it changes.

You must be a human being to set up an account and use the Service. Accounts may not be created by “bots” or other automated methods.

You are responsible for keeping your account and password secure, and are also responsible for all activities using your account or password.  Neither Keyhole nor Muck Rack will be liable for any loss or damage that results from your failure to comply with this obligation or unauthorized use of your account.

You may never use another’s account without permission.

You must notify us immediately of any breach of security or unauthorized use of your account.

Fees, Payment and Renewals

Payment and pricing terms for the Service are as specified in the order form utilized to order such subscriptions. Payments are made in advance for the upcoming billing cycle.

By selecting a Premium Service you agree to pay the monthly or annual subscription fees indicated on the Order Form for that Service. Payments will be charged on the day you sign up for a Premium Service and will cover the use of that Service for the monthly or annual period as indicated. Premium service fees are not refundable.

 Monthly and annual subscriptions automatically renew until they are canceled by the User. Your subscription will automatically renew for the same term length, unless notice of non-renewal is provided.

Cancellation and Termination

Service Cancellation requests should be emailed to [email protected]. Cancellations may not take effect until completion of the current billing cycle.

You will not be entitled to any refund on termination or expiration of the Agreement. You will not be entitled to any refund or credits for the partial use of the Services at any time.

Keyhole does not provide prorated refunds for accounts that are canceled during their subscription term.

Restrictions

Access to certain areas of this website is restricted.  We reserve the right to restrict access to any portion or the entirety of this Site at our sole discretion, at any time, with or without notice to you.

Keyhole is a Service offered by Muck Rack, LLC. Use of the Keyhole Service is subject to Muck Rack’s Terms and Conditions and Privacy Policy. If you have any questions please contact: [email protected].
